Terms of Service

1. Acceptance of Terms

By accessing or using the OpenChair platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. OpenChair, Inc. (“OpenChair,” “we,” “us,” or “our”) may update these Terms from time to time; material changes take effect on the date we post them or as otherwise required by law, and your continued use constitutes acceptance.

2. Description of Service

OpenChair provides an on-demand dental care marketplace that connects patients with licensed dentists for after-hours and emergency dental care. We do not provide dental services directly — all care is delivered by independent licensed dental professionals. OpenChair is a technology platform and is not a dental practice, hospital, or insurer.

3. Not a Medical Emergency Service

OpenChair is not a substitute for emergency medical care. If you are experiencing a life-threatening emergency — including uncontrolled bleeding, difficulty breathing or swallowing, or facial swelling affecting your airway — call 911 or go to the nearest emergency room immediately. Triage guidance provided through the Service is informational and does not constitute a diagnosis or a doctor-patient relationship until you engage a dentist.

4. Accounts and Security

You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You must promptly notify us of any unauthorized use of your account. You must be 18 or older, or have a parent or legal guardian complete the registration and consent on your behalf.

5. Dentist Eligibility

To register as a dentist on OpenChair, you must hold a valid, active dental license in the state(s) where you intend to practice. You agree to:

  • Provide accurate and complete professional information
  • Maintain your license and malpractice insurance in good standing
  • Comply with all applicable federal, state, and local laws governing the practice of dentistry
  • Maintain patient confidentiality in accordance with HIPAA
  • Notify OpenChair promptly of any changes to your license status

6. Fees and Payment

OpenChair charges a platform fee of 15% on each completed appointment. Dentists receive 50% and clinic partners receive 35% of the appointment fee. All fees are clearly disclosed prior to booking confirmation. Payments are processed securely through our payment processor and are non-refundable except as required by applicable law or as expressly set forth in our Cancellation Policy.

7. Text Messaging (SMS)

By providing your mobile number and opting in, you agree to receive transactional SMS/text messages from OpenChair — appointment confirmations, match alerts, and booking updates. Message frequency varies based on your activity. Message and data rates may apply. Reply STOP to opt out at any time or HELP for help. Consent to receive text messages is not a condition of purchase. 8. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Impersonate any person or entity
  • Submit false or misleading information
  • Circumvent or interfere with the platform’s security features
  • Solicit patients to transact outside of the OpenChair platform

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, suspected fraud, or to comply with law. You may close your account at any time. Sections that by their nature should survive termination — including fees owed, disclaimers, limitation of liability, indemnification, and governing law — will survive.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. OpenChair does not warrant that the Service will be uninterrupted or error-free, and does not endorse or guarantee the quality of any dental services rendered by independent professionals.

11. Limitation of Liability

OpenChair is a marketplace platform and is not responsible for the quality of dental services rendered by independent dental professionals. To the fullest extent permitted by law, OpenChair shall not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim arising out of or relating to the Service shall not exceed the greater of the amount you paid to OpenChair in the 12 months preceding the claim or US $100.

12. Indemnification

You agree to indemnify and hold harmless OpenChair and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or any law.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, Messaging Terms, and HIPAA Notice of Privacy Practices.

14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.
